This Privacy Policy (“Privacy Policy”) describes how PDS Galleries LLC and our parent, subsidiary, and affiliate companies (collectively, “PDSG”, “we”, “us”, or “our”) use Personal Information (defined below) that we collect, receive, and store about each visitor, user, or customer (each, a “user,” and specifically you, “you” or “your”) of our owned and operated website, www.pdsgalleries.com, and of our other affiliated websites, subdomains, mobile versions, applications (including mobile applications), and online media under our operation and control, as well as all backup, mirror, replacement, or substitute websites or webpages we make available as part of the services we provide (collectively, the “Website” or “Site”), and to our galleries, events, and art fairs (collectively, the “Services”). 

This Privacy Policy is intended to inform you of our policies and practices regarding the collection, retention, use, and disclosure of any Personal Information through our Site and through our Services. We are committed to respecting the privacy and privacy rights of our users and recognize the need for appropriate protection and management of information that may be used, either alone or in combination with other information, to personally identify an individual or household (“Personal Information”) and, as a subset thereof, Personal Information that may be considered sensitive personal information under Data Privacy Laws (defined below) (“Sensitive Personal Information”) that is shared with us in connection with users’ use of the Site or participation in the Services. You may choose whether to provide or disclose Personal Information in connection with your use of the Site or participation in the Services. If you choose not to provide the Personal Information we request, you may still visit and use parts of the Site, and participate in the Services, but may be unable to access or use certain features, options, programs, and services thereof. If you do not agree with any of the terms of this Privacy Policy, please do not use the Site. 

By submitting any information through our Site or in connection with our Services, you acknowledge and agree that we may process (i.e., collect, use, disclose, etc.) your Personal Information as described in this Privacy Policy. 

THE INFORMATION THAT PDSG COLLECTS, AND HOW IT IS COLLECTED: 

PDSG collects Personal Information and Anonymous Information from you when you visit the Site, submit a request or support ticket, place an order, or in connection with our Services. Personal Information we may collect from you includes your name, address, telephone number, e-mail address, user name, and any information about you that is associated with or linked to any of the foregoing information, such as your IP address or geographic location information, and any other information reasonably necessary to facilitate your dealings with us, some of which may constitute Personal Information and/or Anonymous Information. "Anonymous Information" means information that is not associated with or linked to your Personal Information and which cannot be used to identify an individual. PDSG collects and uses Personal Information and Anonymous Information as described in this Privacy Policy. 

Other than as expressly set forth above, we generally do not request on or through the Site or Services Sensitive Personal Information, such as financial account information (e.g., credit report information, bank account numbers) or government-issued identification (e.g., your social security card, driver’s license, or passport), except when such information is necessary to provide the services offered through the Site or in connection with our Services and to fulfill your requests made through the Site and/or in connection with the Services. Pursuant to US Data Privacy Laws (defined below), you have the right to request that PDSG limit the use or disclosure of your Sensitive Personal Information to that which is necessary to provide you with the services for which you’ve requested. To do so, please contact us at privacy@pdsgalleries.com. 

USER PROVIDED INFORMATION 

You may voluntarily provide Personal Information such as your name, organization name, email address, postal address, phone number, and credit card information when placing orders, when requesting additional information about products, or participating in various activities on the Site or in connection with our Services. PDSG may also collect your email address if you choose to sign up for email communications or newsletters from PDSG. 

• INFORMATION PROVIDED BY THIRD PARTIES 

We may from time to time collect information, including Personal Information, about you through non-affiliated third parties. To process your requested order(s) for products via the Site or in connection with our Services, our third-party payment processor, presently, Paypal (the “Payment Processor”), may collect your transaction information, such as the form of payment and the associated account number and billing address used to purchase such products, which may be shared with us via encrypted and tokenized methods. INFORMATION COLLECTED BY COOKIES 

In addition to the information that you choose to voluntarily provide, when you visit the Site, PDSG sends cookies and similar technologies to collect information about how you use the Site, including your browsing activity, browser type, and device information. 

"Cookies" are small text files that a website places on your device while you are viewing a website. PDSG uses both session cookies (which expire once you close your web browser) and persistent cookies (which remain on your device until they expire or until you delete them). 

PDSG uses cookies for the following purposes: to ensure proper functioning of the Site and its features; to understand how visitors use the Site through analytics tools such as Google Analytics; and to improve the Site experience. 

Google Analytics collects information such as how often users visit the Site, what pages they visit, and what other sites they visited prior to coming to the Site. PDSG uses this information solely to improve the Site. Google Analytics places persistent cookies on your device to identify you as a unique user the next time you visit, but this information cannot be used by Google to identify you personally. For more information about how Google uses data collected through Google Analytics, visit https://policies.google.com/technologies/partner-sites. 

Your browser has options to accept, reject, or provide you with notice when a cookie is sent. You may also opt out of Google Analytics by clicking “Reject Non-Essential” when prompted upon your initial visit to the Site via our homepage consent banner, or by installing the Google Analytics Opt-out Browser Add-on. Please note, however, that if you choose to disable cookies, some areas of the Site may lose certain functionality or cease to work properly. 

HOW PDSG USES THE INFORMATION IT COLLECTS: 

PDSG uses your Personal Information to process and fulfill any orders you place and to complete any requests you make—including requests to receive email communications regarding products and newsletters. As part of processing and fulfilling your orders, PDSG or the Payment Processor will use your Personal Information to process your payment, as authorized by you during the checkout process, and to communicate with you regarding the status of your order and delivery details. 

PDSG may use the information it collects from you to determine your purchase preferences, identify content that may be of specific interest to you, and deliver product offers or other content specific to your interests. 

If you receive direct marketing from PDSG, you can opt out at any time by following the instructions included in every email sent to you via the “Unsubscribe” link, or by sending a request to opt out of promotional email communications to info@pdsgalleries.com. PDSG respects your choice and will stop sending you promotional emails once you unsubscribe. Please note, however, that you may not opt out of non-promotional communications from PDSG, including communications confirming successful order placements, communications sent for customer service purposes, notifications regarding important Site or policy changes, communications providing important security or data breach information, and communications containing other significant information related to your Personal Information for as long as it is retained by PDSG. 

PDSG may create Anonymous Information records from Personal Information by excluding information (such as your name and/or IP address) that would allow someone to identify a specific individual. PDSG may use this Anonymous Information to analyze request patterns and improve the Site and our performance of services offered through the Site. In addition, PDSG may create and use aggregate or statistical information that is not traceable to any particular individual (such as anonymous user usage data, cookies, IP addresses, browser type, clickstream data, etc.) to improve the quality and design of the Website and to create new features, promotions, functionality, and services by storing, tracking, and analyzing user preferences and trends. PDSG reserves the right to use and disclose anonymous or aggregate information to third parties in its discretion. 

We will not perform any automated decision-making processes on the information that we collect. 

While PDSG will sometimes request your consent before using your Personal Information, there are many additional legitimate and lawful purposes for which PDSG may collect and use your Personal Information without your consent. For more information, please see the see section titled “Notice Regarding Requested Consents,” below. 

PDSG will only retain the Personal Information we collect about you for as long as required for the purposes set out in this Privacy Policy or as required to comply with our legal obligations. Where we are permitted to engage in direct marketing, we may retain your Personal Information for that purpose and for as long as you do not unsubscribe from receiving such direct marketing from us. If you opt out of marketing, we will retain only as much information as is required for us to respect your wishes to not be contacted for marketing purposes. 

THE CONDITIONS UNDER WHICH PDSG WILL SHARE YOUR INFORMATION WITH OTHERS: 

PDSG may share Anonymous Information for any legitimate business purpose allowed under Data Privacy Laws without notification or consent. 

It is currently PDSG’s policy not to sell your personal information. In the event this policy changes, we will contact you in advance of the change to obtain your consent to the sale of your personal information. 

PDSG will share your Personal Information with employees, consultants, affiliates, or other third party businesses or persons for the purpose of processing your information on PDSG’s behalf, including processing relating to fulfilling your orders, to the Payment Processor for the purpose of processing payments relating to your orders, shipping your orders to you, facilitating direct marketing and/or non-promotional email communications to you, and maintaining and securing PDSG’s business records. PDSG may also share your Personal Information with our affiliates for their commercial or marketing use. PDSG has taken certain organizational and technological security measures to secure your personal information, described in the “How Your Information Is Secured” section below, and requires at least the same degree of organizational and technological security to be used by our employees, consultants, affiliates, and third party businesses or persons involved in processing Personal Information. We use commercially reasonable efforts to engage or interact with third-party service providers and business partners that only take appropriate measures to protect your Personal Information; however, it is the responsibility of each of those third-party service providers and business partners to comply with Data Privacy Laws and their respective privacy policies, and we take no responsibility for their privacy practices or compliance therewith. 

If PDSG or its assets are acquired by another company, or PDSG undergoes a re- organization that results in the creation of or transference of assets to a new entity, that company will possess your Personal Information and it will assume the rights and obligations regarding your Personal Information as described in this Privacy Policy. 

In addition, we may share Personal Information with the entities or individuals that own, control, or are under common ownership or control with PDSG, including: Di Donna Galleries, LLC, The Pace Gallery LLC, and DS Art LLC and their affiliates (collectively, the “Ownership Entities”). Such sharing may occur for purposes consistent with this Privacy Policy, including operating and improving each of their respective business operations, administrative and internal business purposes, compliance with legal obligations, and other legitimate business purposes. Each Ownership Entity will process Personal Information in a manner consistent with this Privacy Policy and Data Privacy Laws. 

Except as expressly stated in this Privacy Policy, PDSG will not share your Personal Information with other, third-party companies for their commercial or marketing use without your consent or except as part of a specific program or feature for which you have the ability to opt-in or opt-out. 

Some of PDSG’s third-party partners or contractors may be international organizations or organizations that were formed in the United States. PDSG shares your Personal Information with such parties. PDSG will use appropriate methods to transmit your information in accordance with Data Privacy Laws. Such methods may include, but are not limited to, model contract clauses, notice of transfer, or binding corporate bylaws. 

In certain circumstances, PDSG may be required to disclose your Personal Information in response to lawful requests by public authorities, including to meet national security or law enforcement requirements. 

While PDSG may request your consent to use or share your Personal Information to fulfill or perform services regarding your orders and requests, PDSG may also use or share your Personal Information without your consent for any legitimate purpose as allowed under Data Privacy Laws (see section titled “Notice Regarding Requested Consents,” below), including fulfilling contractual obligations to you, enforcing the Terms of Service, or bringing or defending against legal claims. 

HOW YOUR INFORMATION IS SECURED: 

PDSG takes reasonable precautions to protect the information collected through the Site. The Site is hosted on a reputable third-party platform that employs industry-standard security measures, including SSL/TLS encryption for data transmitted between your browser and the Site. 

Any Personal Information you provide through the Site (such as through contact or inquiry forms) is transmitted using encryption and is stored by our hosting and service providers in accordance with their respective security practices. PDSG limits access to your Personal Information to those individuals within the organization who have a business need for such access. 

While PDSG takes reasonable steps to protect your information, no method of transmission over the internet or method of electronic storage is completely secure. PDSG cannot guarantee the absolute security of your information." 

YOUR RIGHTS REGARDING YOUR INFORMATION: 

PDSG respects your privacy and wants you to be informed of, and in control of, how your Personal Information is used. To exercise any of the rights described in this section, please contact PDSG’s privacy officer at privacy@pdsgalleries.com using the procedure described in the “Personal Information Request Submissions” section below. 

Subject to local law, you can control your Personal Information in the following ways: 

You can request access to your Personal Information and obtain a copy of all Personal Information about you in PDSG’s possession; 

You can correct any errors in your Personal Information, or notify PDSG of any changes to your Personal Information; 

In certain situations, you can request that PDSG erase, block, or restrict access to your Personal Information; 

In certain situations, you can object to the particular ways in which PDSG is using your Personal Information; and 

In certain situations, you can also request that PDSG send your Personal Information to a third party. 

PDSG will take all reasonable steps to ensure that your Personal Information is handled according to your wishes. 

NOTICE REGARDING REQUESTED CONSENTS: 

If you use the Site or the Services, you may be asked to consent to certain collection and use of your Personal Information. While you will not be penalized or prejudiced for refusing to consent to the collection, retention, and use of your information as described in this Privacy Policy, failure to provide consent may interfere with or disrupt certain features of the Site or prevent PDSG from fulfilling your orders. 

You are entitled to withdraw that consent at any time. If you revoke your consent, you will not be penalized or prejudiced for that revocation. 

However, even if you refuse or revoke your consent, PDSG may continue to collect, retain, and use your Personal Information or Sensitive Personal Information so long as such retention and use is consistent with the purposes described in this Privacy Policy and that collection, retention, and use is lawful and allowed without need for your consent under the Data Privacy Laws. 

These uses, among others, may include: 

  1. Complying with legal obligations, for example, tax, employment, and other laws or regulations; 

  2. Fulfilling PDSG’s contractual obligations to you; 

  3. Fulfilling PDSG’s legitimate business interests and purposes, whether performed by PDSG or a third party, so long as that purpose does not override your fundamental rights and freedoms; 

  4. Preventing fraud; 

  5. For internal administrative purposes, whether your data is maintained internally or shared with PDSG’s subsidiaries and affiliates, franchisees, or third-party contractors for this purpose; 

  6. Ensuring network and information security; 

  7. Establishing, exercising, or defending against any legal claims; 

  8. Complying with legal obligations; or 

  9. Using your Personal Information in accordance with any valid consents you have given. 

NOTICE REGARDING CHILDREN: 

PDSG does not intentionally gather Personal Information about visitors who are under the age of 13, and you must be at least 13 years or older to use the Site. If you believe that we might have any Personal Information from a child under 13, please contact us using the information in the “Contact Us” section, below. 

RIGHTS AND CHOICES FOR EU/EEA (AND UK) CONSUMERS 

The EU general data protection regulation 2016/679 (as amended from time to time, and as adopted by the United Kingdom, the “GDPR”) provides individuals (residents of the European Union (EU), European Economic Area (EEA), and the United Kingdom (UK)) with specific rights regarding their Personal Information. 

This section describes your GDPR rights and explains how to exercise those rights. 

The GDPR extends a number of rights to residents of the EU, EEA, and the UK. These rights include the rights of/to: access, rectification, erasure (“the right to be forgotten”), restrict processing, data portability, and objection to profiling and automated decision-making. Individuals subject to GDPR also have the right not to be discriminated against for exercising these rights. 

EXERCISING YOUR GDPR RIGHTS 

You have the right to control your Personal Information as described below. To request access to, correct, object to our use and retention of your Personal Information, or to exercise any of your rights related to your Personal Information as described in your local law, please send a request by email to privacy@pdsgalleries.com or by mail using the contact information listing in the “Contact Us” section above. Please include “Personal Information Request” in the subject line of your email. 

You can control your Personal Information in the following ways: 

You can request access to your Personal Information and obtain a copy of all Personal Information about you in PDSG’s possession; 

You can correct any errors in your Personal Information, or notify PDSG of any changes to your Personal Information; 

In certain situations, you can request that PDSG erase, block, or restrict access to your Personal Information; 

In certain situations, you can object to the particular ways in which PDSG is using your Personal Information; and 

In certain situations, you can also request that PDSG send your Personal Information to a third party. 

When you contact PDSG to exercise any of the privacy rights described above, please provide the following information: 

1) Your first and last name; 

2) Your email address; 

3) Your phone number; and 

4) A brief description of your request, which can be based on the list of rights described above. 

PDSG will make a reasonable effort to confirm your identity before processing your request to protect against disclosure of your information to a third party This identity confirmation effort may come directly from us or from a trusted vendor. 

The Personal Information you submit with your request will only be used to process your request, though PDSG may store information relating to your request for up to 60 days in case you have additional inquiries. Any contact information provided in connection with a request to exercise your rights related to your Personal Information will not be used for direct marketing purposes and will not be shared with others unless necessary to verify your identity and complete your request. 

PDSG will do its best to respond to your request as soon as possible, and, in any event, no later than 30 days after receiving your request. Please note that making multiple requests at one time may delay the processing of your request. If additional time is required to complete your request, PDSG will contact you with information regarding the delay. 

In certain circumstances, some requests may need to be fulfilled in a logical order. For example, if you request to see what information PDSG has about you and at the same time request that PDSG erase your Personal Information, PDSG will first provide you with access to your Personal Information, before asking you to confirm your request to delete that information. 

In some circumstances, PDSG may not be able to comply with your requests relating to your Personal Information. In those cases, PDSG will respond as soon as possible, explain why we are not able to comply, and provide information about how you can object to the relevant supervisory authorities if you think our continued use is improper. 

If you have a concern about PDSG’s handling of your Personal Information or your request, please contact us using the contact information in this Privacy Policy so we can try to resolve your concerns. PDSG is committed to working with you to obtain a fair resolution to any complaint or concern you may have about your Personal Information. In certain circumstances, you may have the right to lodge a complaint with the data protection authority in your country (if one exists in your country) or supervisory authority. You may also have a right to a judicial remedy if it is determined your Personal Information is being used illegally. 

U.S. Consumer Privacy Rights 

Depending on your U.S. state of residence, you may have additional privacy rights with respect to your Personal Information. These rights may be accorded to you pursuant to, respectively, the California Consumer Privacy Act; the California Privacy Rights Act; the Colorado Privacy Act; the Connecticut Personal Data Privacy and Online Monitoring Act; the Oregon Consumer Privacy Act; the Texas Data Privacy and Security Act; the Utah Consumer Privacy Act; the Virginia Consumer Data Protection Act; the Montana Consumer Data Privacy Act; Nevada’s SB 220; the Delaware Data Protection Act; the Iowa Data Protection Act; the Nebraska Data Privacy Act; the New Hampshire Privacy Act; the New Jersey Data Privacy Act; the Tennessee Information Protection Act; the Minnesota Consumer Data Privacy Act; the Maryland Online Data Privacy Act; the Indiana Consumer Data Protection Act; the Kentucky Consumer Data Protection Act; and the Rhode Island Data Transparency and Privacy Protection Act (collectively, as may be amended from time to time, “US Data Privacy Laws,” and together with GDPR, “Data Privacy Laws”). For the purposes of this section, Personal Information shall have the same meaning as “personal data” as such term is used under US Data Privacy Laws. 

  • Requests to Know: You have the right to request that we disclose: The categories of Personal Information we have collected about you; 

  • The categories of sources from which we have collected Personal Information about you; 

  • Our use of the Personal Information we have collected about you; 

  • The business or commercial purposes for selling or collecting Personal Information about you; 

  • The categories of Personal Information sold, shared, or disclosed about you, as well as the categories - and, if you are a resident of Oregon or Colorado, the names - of third parties to whom the Personal Information was sold, by category of Personal Information for each party to whom Personal Information was sold; and 

  • The specific pieces of Personal Information collected about you for the twelve (12) months prior to the date of your request.

The delivery of our response to your request to know may take place electronically or by mail. We are not required to respond to requests to know more than twice in a twelve (12)-month period. 

  • Requests to Delete: You have the right to request that we delete any Personal Information about you that we have collected from you and retained, subject to certain exceptions. We may deny your deletion request if retaining the Personal Information is necessary for us or our service provider(s) to: Complete the transaction for which we collected the Personal Information, provide a good or service that you requested, take actions reasonably anticipated within the context of our ongoing business relationship with you, or otherwise perform our contract with you; 

  • Detect security incidents, protect against malicious, deceptive, fraudulent, or illegal activity, or prosecute those responsible for such activities; 

  • Debug products to identify and repair errors that impair existing intended functionality; 

  • Exercise free speech, ensure the right of another consumer to exercise their free speech rights, or exercise another right provided for by applicable law; 

  • Engage in public or peer-reviewed scientific, historical, or statistical research in the public interest that adheres to all other applicable ethics and privacy laws, when the information's deletion may likely render impossible or seriously impair the research's achievement, if you previously provided informed consent; 

  • Enable solely internal uses that are reasonably aligned with consumer expectations based on your relationship with us; 

  • Comply with an obligation under applicable law; and/or 

  • Make other internal and lawful uses of that information that are compatible with the context in which you provided it. 

  • Right to Opt-Out of the Sale or Sharing of Personal Information: You have a right to opt out of the sale or sharing of Personal Information and/or Sensitive Personal Information we have collected about you to third parties. If you exercise this right, we will not sell or share Personal Information and/or Sensitive Personal Information about you. Please note that PDSG does not “sell” or “share” your personal information as such terms are defined under U.S. Data Privacy Laws. 

  • Requests to Correct Inaccurate Personal Information: You have the right to request that we correct inaccurate Personal Information that we maintain, or which pertains to you. Upon receipt of a verifiable request from you, we will use commercially reasonable efforts to correct the inaccurate Personal Information. 

  • Right to Opt Out of Profiling: You have the right to opt out of “profiling.” This opt out applies to the automated processing of Personal Information that is used to render decisions that could have a legal or similarly-significant effect on a user. Examples of such decisions include those related to credit and access to fundamental goods or services. PDSG does not engage in profiling as described above. 

  • Right to Non-Discrimination: You have the right not to be discriminated against for the exercise of your US 

  • Data Privacy Laws rights described above. Unless permitted by US Data Privacy Laws, we will not as a result of such exercise: Deny you services; 

  • Charge you different prices or rates for services, including through granting discounts or other benefits, or imposing penalties; 

  • Provide you a different level or quality of services; or 

  • To the extent applicable, suggest that you may receive a different price or rate for goods or services or a different level or quality of services. 

Authorized Agents 

You may designate an authorized agent to make requests on your behalf. You must provide an authorized agent written permission to submit a request on your behalf, and we may require that you verify your identity directly with us. Alternatively, an authorized agent that has been provided power of attorney may submit a request on your behalf. 

Methods for Submitting Consumer Requests and Our Response to Requests 

To make a request pursuant to your US Data Privacy Laws rights, you must contact PDSG’s Privacy Officer either by email at privacy@pdsgalleries.com or by mail at 744 Madison Ave, New York, NY 10065, United States of America. 

PDSG reserves the right to verify all requests made pursuant to US Data Privacy Laws. Upon receipt of such request, we may ask you for additional information to verify your identity. Any additional information you provide will be used only to verify your identity and not for any other purpose. We will acknowledge the receipt of your request within ten (10) days of receipt. Subject to our ability to verify your identity, we will respond to your request within forty-five (45) days of receipt. To protect your privacy and the security of Personal Information about you, we verify your request by requesting additional identifying information that will only be used to verify your identity and for no other purpose. 

If you are a resident of Colorado, Connecticut, Delaware, Iowa, Maryland, Minnesota, Montana, Nebraska, New Hampshire, New Jersey, Oregon, Tennessee, Texas, or Virginia, you may appeal our denial of your request pursuant to your US Data Privacy Law rights. To do so, you must email us at privacy@pdsgalleries.com within forty-five (45) days of your receipt of our denial therefor. We will respond to an appeal within sixty (60) days of receipt for residents of Connecticut, Delaware, Iowa, Maryland, Montana, Nebraska, New Hampshire, Texas, Tennessee, and Virginia, and within forty-five (45) days of receipt for residents of Colorado, Minnesota, and New Jersey, and Oregon. 

  • If your appeal is denied and you are a Connecticut resident, you may contact the Connecticut Attorney General to submit a complaint at: https://portal.ct.gov/AG/Common/Complaint-Form-Landing-page. 

  • If your appeal is denied and you are a Texas resident, you may contact the Texas Attorney General to submit a complaint at: https://www.texasattorneygeneral.gov/consumer-protection/file-consumer-complaint. 

  • If your appeal is denied and you area Maryland resident, you may contact the Maryland Attorney General to submit a complaint at: https://www.marylandattorneygeneral.gov/Pages/CPD/Complaint.aspx. 

  • If your appeal is denied and you are a Montana resident, you may contact the Montana Attorney General to submit a complaint at: https://dojmt.gov/office-of-consumer-protection/consumer-complaints/. 

Categories of Personal Information We Have Sold or Shared in the Last Twelve (12) Months: 

  • We have not sold or shared (as such terms are defined under US Data Privacy Laws) any categories of Personal Information during the last twelve (12) months. 

Categories of Personal Information We Have Disclosed for a Business Purpose in the Last Twelve (12) Months: 

  • Identifiers, such as your first name, last name, organization name, phone number, email address, and mailing address, any information about you that is associated with or linked to any of the foregoing information, such as your IP address or geographic location information, and any other information reasonably necessary to facilitate your dealings with us or in connection with our provision of the Services to you. 

CALIFORNIA’S SHINE THE LIGHT LAW:
